1. Acceptance of these terms
These Terms and Conditions apply to tiendli.com, related Tiendli services, marketplace surfaces and applications. By creating an account, operating a store, placing an order or using the platform, you agree to these terms together with our Privacy Policy and Cookie Policy. If you act for a company or other organization, you represent that you are authorized to bind it.
2. Definitions
- Tiendli: the platform operated by Zuomy Software S.R.L., RUT 170297670015, a company organized in Uruguay.
- Merchant: a person or organization using Tiendli to sell products, provide services or accept bookings.
- Buyer: a person who purchases from or books with an independent Merchant.
- Store: the merchant storefront configured within Tiendli.
- Marketplace: Tiendli’s public discovery surface for participating stores, products and services.
3. What Tiendli is and is not
Tiendli provides software for catalog management, online stores, bookings, payments configuration, marketplace discovery, order management and related tools. Unless Tiendli explicitly states otherwise for a specific service, Tiendli is not the seller of a Merchant’s goods or services and is not a party to the transaction between a Merchant and Buyer.
Merchants set their own prices, product information, availability, delivery terms, refund policies and business practices. Payment processors, carriers and other third parties operate under their own terms.
4. Accounts and eligibility
You must provide accurate information, keep your account details current and protect your login credentials. You must be legally able to enter into the agreement applicable to your account. You are responsible for activity performed through authorized users of your account.
5. Plans, pricing and billing
Tiendli may offer free and paid plans. Features, limits, prices and platform fees are shown before subscription or activation and may differ by market. Third-party payment processors can charge separate processing fees. If a paid plan is not available through automated checkout in your market, Tiendli may offer assisted activation instead.
We may change plan features or pricing prospectively. Material changes to an active paid service will be communicated as required by applicable law and the commercial terms in effect for that service.
6. Merchant payments
Merchants can configure supported payment methods. In the United States, a merchant may connect its own Stripe account for Stripe-hosted Checkout when that integration is enabled. Tiendli does not store full card numbers or CVC data in that flow. Settlement, disputes, chargebacks, refunds, processor fees and account eligibility are governed by the merchant’s payment-provider relationship.
Tiendli does not become the custodian of merchant funds merely because a payment integration is available in the platform.
7. Merchant responsibilities
Each Merchant is responsible for the legality and accuracy of its listings, pricing, inventory, taxes, licenses, sales-tax obligations, shipping or pickup promises, warranties, returns, customer support and compliance with laws that apply to its business. Tiendli does not provide tax, accounting or legal advice.
8. Buyer conditions
Buyers contract directly with the Merchant identified on the store or listing. Questions about a product, fulfillment, cancellation, refund or warranty should first be directed to that Merchant. Tiendli may provide technical records or platform support but does not replace the Merchant’s legal obligations.
9. Prohibited products and services
You may not use Tiendli for unlawful goods or services, fraud, exploitation, deceptive activity, infringement, malware, unauthorized financial activity or content that violates applicable law or Tiendli policies. Some sensitive categories can be subject to additional restrictions or age controls.
10. User content and intellectual property
You retain rights in content you upload. You grant Tiendli the limited rights necessary to host, process, resize, display, distribute and technically adapt that content to operate and promote your Store and marketplace listings. You represent that you have the rights needed to use the content you submit.
Tiendli’s software, branding, design and platform materials remain the property of their respective owners and may not be copied or exploited except as permitted by law or written agreement.
11. AI-assisted features
Some Tiendli features may use artificial intelligence to assist with drafting, classification, support or other workflows. AI output can be incomplete or inaccurate. Users remain responsible for reviewing output before relying on it in commercial, legal, financial, medical or other consequential contexts.
12. Service availability
We work to keep Tiendli available and secure, but uninterrupted operation is not guaranteed. Maintenance, third-party outages, abuse prevention, security incidents or force-majeure events can affect availability. Integrations can also change when an external provider changes its API, policies or account requirements.
13. Liability
To the maximum extent permitted by applicable law, Tiendli is not responsible for a Merchant’s products or services, third-party provider failures, indirect losses, lost profits or data loss caused outside Tiendli’s reasonable control. Nothing in these terms excludes rights or liability that cannot legally be excluded.
14. Suspension and termination
We may restrict or suspend accounts for fraud, security risks, unlawful activity, repeated policy violations, unpaid charges or serious abuse of the platform. When circumstances permit, we will provide notice and an opportunity to resolve the issue. You may close your account subject to outstanding obligations and data-retention requirements.
15. Changes to these terms
We may update these terms when functionality, law or operating practices change. The current version and update date will be published here. Material changes will be communicated when required by applicable law.
16. Applicable law and mandatory rights
Mandatory consumer, privacy and commercial protections that apply based on your location or transaction continue to apply regardless of these terms. Cross-border services can involve laws from more than one jurisdiction. Any contractual choice-of-law or forum provision is subject to rights that applicable law does not allow the parties to waive.
